Terms of Sale

1. General
These Terms of Sale (“Terms”) apply to all sales of goods by Rand Wood Reman, (“Seller”) to any purchaser (“Buyer”). By placing an order, the Buyer agrees to be bound by these Terms.
2. Orders
All orders are subject to acceptance by the Seller. The Seller reserves the right to refuse any order at its discretion. Orders must specify the type and quantity of products, as well as the desired delivery date.
3. Pricing
Prices are subject to change without notice. The price charged for a product will be the price in effect at the time the order is placed. All prices are exclusive of taxes, shipping, and handling charges, which will be added to the total invoice amount.
4. Payment Terms
Payment is due within [Purchasing terms] days from the date of the invoice unless otherwise agreed in writing. The Seller reserves the right to require payment in advance or to impose credit limits. Late payments may incur interest at the rate of [current interest rate] per month.
5. Delivery
Delivery dates are estimates only and are not guaranteed. The Seller will make reasonable efforts to deliver products on the agreed date but will not be liable for any delays. Risk of loss passes to the Buyer upon delivery.
6. Inspection and Acceptance
The Buyer must inspect the products upon delivery and notify the Seller of any defects or discrepancies within 10 days. Failure to do so will constitute acceptance of the products.
7. Returns and Refunds
Returns are subject to the Seller’s return policy. Custom or special orders are non-returnable and non-refundable. The Buyer must obtain a return authorization from the Seller before returning any products.
8. Warranty
The Seller warrants that the products will be free from defects in material and workmanship for a period of 30 days from the date of delivery. This warranty does not cover damage caused by misuse, neglect, or improper storage.
9. Limitation of Liability
The Seller’s liability for any claim arising out of or related to these Terms or the sale of products will not exceed the purchase price of the products. The Seller will not be liable for any indirect, incidental, or consequential damages.
10. Governing Law
These Terms will be governed by and construed in accordance with the laws of Arkansas. Any disputes arising out of or related to these Terms will be resolved in the courts of Bradley Country.
11. Amendments
The Seller reserves the right to amend these Terms at any time. The Buyer will be notified of any changes, and continued use of the Seller’s services or products will constitute acceptance of the amended Terms.
